These terms govern your access to and use of QRecon. By using the Service, you agree to them.

By creating an account, accessing, or using QRecon's website or application (together, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company, you represent that you have authority to bind that company, and "you" refers to that company.
QRecon connects to Stripe, PayPal, and QuickBooks (via each provider's official API and your authorization) to group payouts, apply automated trust scoring, and prepare reconciliation entries. QRecon does not initiate payments, move funds, or have the ability to withdraw or transfer money from any connected account.
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at hello@qrecon.ai if you suspect unauthorized access.
Certain plans, including early-access promotions described on our Pricing page, may be offered free for a limited time or to a limited number of accounts. We will provide advance notice before any free access converts to a paid subscription or before pricing changes take effect for your account. Fees for paid plans are described at checkout and are non-refundable except as required by law.
The Service integrates with third-party platforms, including Stripe, PayPal, and Intuit QuickBooks. Your use of those platforms is governed by their own terms and privacy policies. QRecon is not responsible for the availability, accuracy, or acts or omissions of these third parties, including changes to their APIs that may affect QRecon's functionality.
QRecon is a reconciliation tool, not an accounting, tax, or financial advisory service. Trust scores, matches, and suggested entries are generated automatically and should be reviewed by a qualified accountant or bookkeeper before being relied upon for financial reporting, tax filing, or compliance purposes.
QRecon and its licensors own all right, title, and interest in the Service, including its software, design, and trademarks. You retain all rights to the financial data you connect to QRecon. We use that data only to provide the Service to you, as described in our Privacy Policy.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT EVERY MATCH OR ENTRY IT PRODUCES WILL BE ACCURATE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QRECON AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.
You agree to defend, indemnify, and hold QRecon harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your misuse of the Service or violation of these Terms.
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, or to protect the security or integrity of the Service, with notice where reasonably possible.
These Terms are governed by the laws of the United States, without regard to conflict-of-law principles. Any dispute arising from these Terms will be resolved exclusively in the courts having jurisdiction over that venue, and both parties consent to that jurisdiction.
Note: replace this section with your actual state of incorporation and preferred venue once your US legal entity is finalized.
We may update these Terms from time to time. Continued use of the Service after an update constitutes acceptance of the revised Terms.
